Vocal Rogue® CIC – Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions (“Terms”) set out the agreement between Vocal Rogue® CIC (“Vocal Rogue®, we, us, or our”) and any individual or organisation accessing our website or using our services (“you” or “your”).

By accessing this website or using any services provided by Vocal Rogue® CIC, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with our Privacy Policy and Data Protection Policy (as required under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018).

If you do not agree with these Terms, you must not access or use our website, services, or materials.

2. Services

Vocal Rogue® CIC provides well-being support, educational resources, marketing services, workshops, and events designed to promote creativity, personal development, and community engagement.
All services are provided for personal, educational, and community use only and are delivered in accordance with our mission to promote wellbeing, inclusivity, and personal growth.

3. User Rights and Responsibilities

As a participant or service user, you agree to the following:

• Respectful Behaviour: You must treat all staff, volunteers, and participants with dignity and respect. Disruptive, discriminatory, or aggressive behaviour may result in exclusion without refund. 
• Health & Safety: You must disclose any medical conditions, allergies, or disabilities that may affect participation in activities to allow for appropriate adjustments. 
• Compliance with Instructions: You must follow reasonable instructions provided by Vocal Rogue® CIC staff or facilitators to maintain a safe and inclusive environment. 

Failure to adhere to these expectations may result in suspension or termination of your participation.

4. Payment Terms

• Payment Requirement: Payment for all services must be made at the time of booking, using credit card, debit card, or PayPal, unless otherwise agreed in writing. 
• Invoices: Where we issue an invoice, you agree to pay the full amount within 30 days of the invoice date. 
• Late Payment: If payment is not received within the specified period, we may charge administrative fees or interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. 
• Refunds: Payments are non-refundable except as explicitly stated in our Cancellation and Refund Policy.

5. Cancellation and Refund Policy

 5.1 Cancellations by You
You may cancel a booking or session; however, cancellations must be made at least 24 hours prior to the scheduled start time to avoid incurring a cancellation fee.

5.2 Late Cancellations
Cancellations made less than 24 hours before the scheduled session will be charged in full, and no refund will be provided unless exceptional circumstances apply and are agreed in writing by us.

5.3 Refunds
Where a refund is applicable, it will be processed within five (5) working days, subject to the payment provider’s terms and processing times. Refunds will be issued using the original payment method unless otherwise agreed.

5.4 Cancellations by Us
In the unlikely event that we need to cancel a session, you will be offered either:

• A full refund, or 
• The option to reschedule for a future session of equivalent value. 

We will notify you as soon as reasonably possible if a session must be cancelled due to unforeseen circumstances (e.g., staff illness, venue unavailability, or safety concerns).

5.5 Exceptional Circumstances
We reserve the right to review individual cases where exceptional or compassionate circumstances may apply, such as illness, emergency, or bereavement.
 

6. Liability Waiver

Vocal Rogue® CIC operates from shared and rented venues and does not own the premises where most activities take place.

By participating, you agree that:

• Assumption of Risk: Participation in workshops, events, or physical activities may involve inherent risks. You accept full responsibility for your participation. 
• Limitation of Liability: Vocal Rogue® CIC and its representatives are not liable for injury, loss, or damage arising from participation, except where caused by proven negligence or breach of statutory duty under the Occupiers’ Liability Act 1957 or other applicable laws. 
• Third-Party Premises: Where sessions take place in third-party venues, the venue owner/operator retains responsibility for the safety and maintenance of their premises.
   

7. Intellectual Property

• Copyright: All materials produced or shared by Vocal Rogue® CIC (including text, logos, videos, artwork, and course materials) are protected under the Copyright, Designs and Patents Act 1988. 
• Trademark: “Vocal Rogue®” and associated branding are registered trademarks. Unauthorised use of these materials is strictly prohibited. 
• Limited Licence: Users may not reproduce, distribute, or modify any content without prior written permission from Vocal Rogue® CIC. 
• Legal Protection: Vocal Rogue® CIC reserves the right to take legal action against infringement or misuse of its intellectual property.
   

8. Limitation of Liability

To the maximum extent permitted by law, Vocal Rogue® CIC shall not be liable for:

• Any indirect, incidental, consequential, or special damages arising from the use of our services or materials. 
• Any delay or failure in performance resulting from events beyond our reasonable control (including force majeure events such as fire, flood, or industrial action). 

This clause does not exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

Vocal Rogue® CIC reserves the right to amend these Terms and Conditions at any time. Updates will be published on our official website, and continued use of our services will constitute acceptance of the revised terms.
